Individual Service & Hosting Agreement

The product-specific terms governing creation, publication, hosting, maintenance and use of a COMLUK Profile, including the responsibilities of COMLUK Solutions and the Client.

The standard terms for the hosted Profile relationship.

This Agreement defines the ongoing hosted-service relationship between COMLUK Solutions and a COMLUK Profile client. It sets out what COMLUK provides, what the Client is responsible for, and the rules under which the Profile is hosted and maintained.

Client-specific information, pricing, quantities, service selections and approvals belong in the applicable quotation, invoice, onboarding record, order confirmation or service record rather than blank fields in this public Agreement.

Client-specific details are recorded through the applicable quotation, invoice, onboarding, order-confirmation or service records rather than inside this baseline Agreement.

This Individual Service & Hosting Agreement establishes the product-specific terms governing the creation, publication, hosting, maintenance, and use of a COMLUK Profile provided by COMLUK Solutions.

This Agreement supplements the COMLUK Solutions Terms of Service and should be read together with the COMLUK Solutions Privacy Policy, COMLUK Profile Privacy Policy, and other applicable service documents.

The exact services, products, pricing, quantities, timelines, optional features, and special conditions applying to a particular Client are established through the relevant quotation, invoice, order confirmation, onboarding submission, approved scope, service record, or other written arrangement.

Parties and Scope

This Agreement is between COMLUK Solutions, referred to as “COMLUK,” “we,” “us,” or “the Service Provider,” and the individual, business, organization, or other entity receiving the COMLUK Profile service, referred to as “the Client.”

The Client is identified through the associated quotation, invoice, onboarding submission, order confirmation, service record, or other applicable customer record.

This Agreement governs the COMLUK Profile service relationship. Where a specific quotation, written addendum, order confirmation, or other agreed document establishes more specific terms for a particular service or transaction, those specific terms apply to that matter.

Nature of the COMLUK Profile Service

COMLUK Profile is a hosted professional identity service.

COMLUK creates, publishes, hosts, and maintains a Profile through infrastructure and systems selected or controlled by COMLUK. The Client receives the right to use and share the hosted Profile in accordance with this Agreement.

The Client is not purchasing or receiving ownership of COMLUK’s underlying:

  • HTML files or source code;
  • templates or platform software;
  • hosting infrastructure;
  • authentication or verification systems;
  • dynamic QR infrastructure;
  • add-on frameworks;
  • administrative tools;
  • internal development assets; or
  • proprietary business processes.

COMLUK retains control of the technical systems used to create, publish, operate, maintain, and improve the Profile service.

Profile Assignment, Identifiers and Access

COMLUK may associate the Client with a COMLUK Account ID and may assign a particular Profile a Profile Reference, Profile URL, dynamic QR code, verification status, and access to supported COMLUK services.

The COMLUK Account ID identifies the customer relationship with COMLUK. Where used, the Profile Reference identifies the specific COMLUK Profile service.

These identifiers are separate from passwords, PINs, access keys, or other security credentials.

COMLUK may modify internal identifiers, hosting paths, Profile addresses, or other technical structures where reasonably necessary to operate, maintain, secure, or improve the service.

Where reasonably possible, technical changes will be managed in a manner that allows the Client’s existing dynamic QR code or other established public access mechanism to continue functioning.

Dynamic QR Code

Where a dynamic QR code is assigned to a Profile, it serves as a persistent public access mechanism through which visitors may reach the Client’s Profile or another approved COMLUK service destination.

COMLUK may update the destination or routing associated with the QR code where reasonably necessary to:

  • maintain service continuity;
  • move or restructure the Profile;
  • apply platform upgrades;
  • correct technical issues;
  • connect approved services or add-ons; or
  • accommodate changes to the Profile platform.

The Client may reproduce and distribute the assigned QR code for lawful personal or professional use.

The Client may not use, modify, represent, copy, reassign, resell, or distribute the QR code in a fraudulent, misleading, unauthorized, or deceptive manner.

Hosting and Service Availability

COMLUK hosts and manages the Profile using infrastructure selected or controlled by COMLUK.

Hosting may include:

  • publishing and maintaining the Profile;
  • maintaining public availability;
  • maintaining Profile and QR routing;
  • applying platform-level updates;
  • managing supported templates and add-ons;
  • performing reasonable maintenance; and
  • making technical changes necessary for continued service operation.

Hosting is an ongoing service and may be subject to recurring fees. Applicable fees, billing periods, introductory arrangements, promotional arrangements, or other specific hosting terms will be stated in the relevant quotation, invoice, or other written service arrangement.

COMLUK will make reasonable efforts to keep hosted Profiles available and operational. Continuous, uninterrupted, or error-free access is not guaranteed.

Temporary interruptions may occur because of maintenance, software updates, third-party outages, internet or telecommunications failures, security incidents, technical faults, or circumstances outside COMLUK’s reasonable control.

COMLUK may temporarily restrict Profile access where reasonably necessary to protect the service, perform maintenance, address misuse, or resolve a technical or security issue.

Client Content and Permission to Use It

The Client may provide material for publication or use through the Profile, including:

  • names;
  • photographs;
  • professional titles;
  • contact information;
  • business information;
  • biographies;
  • logos and branding;
  • product or service information;
  • images and videos;
  • documents;
  • website and social-media links;
  • booking information;
  • payment or storefront links; and
  • other professional or business material.

The Client remains responsible for ensuring that submitted content is accurate, lawful, suitable for publication, and provided with the necessary ownership rights, licences, permissions, or authority.

The Client retains ownership of original material supplied by the Client.

By providing content for use through the service, the Client gives COMLUK limited permission to store, reproduce, format, resize, process, display, and publish that content where reasonably necessary to provide the agreed service.

This permission may include using the material to:

  • create and host the Profile;
  • prepare digital assets;
  • create previews;
  • connect approved features or add-ons;
  • prepare approved physical or digital materials;
  • maintain operational backups; and
  • make technical adjustments required for compatibility or display.

This permission does not transfer ownership of the Client’s original content to COMLUK.

Client Responsibilities

The Client is responsible for:

  • providing complete and accurate information;
  • reviewing information submitted to COMLUK;
  • checking displayed Profile information for accuracy;
  • confirming names, spelling, telephone numbers, addresses, links, and other important details;
  • providing suitable photographs, images, logos, and branding assets;
  • ensuring submitted content does not unlawfully infringe third-party rights;
  • keeping Profile information reasonably current;
  • providing identity and authorization documentation where required;
  • disclosing authorized third-party Profile management arrangements;
  • paying applicable setup, hosting, production, update, delivery, or other agreed charges;
  • using the Profile lawfully;
  • protecting any PIN, credential, access key, or other private access mechanism provided by COMLUK; and
  • promptly reporting suspected misuse or unauthorized access.

COMLUK is not responsible for errors that originate from information supplied, confirmed, or approved by the Client.

Review, Approval and Profile Updates

COMLUK may provide previews, drafts, proofs, or other review material before publication or production.

The Client is responsible for reviewing the information presented and identifying errors or required corrections before approval.

Approval may be communicated through email, messaging platform, online form, written confirmation, electronic approval process, or another communication method accepted by COMLUK.

Once a Profile, design, physical product, or other deliverable has been approved, corrections or redesigns resulting from Client-supplied or Client-approved information may be treated as additional work.

Where physical production is involved, Client approval authorizes COMLUK to proceed with production.

The Client may request future Profile updates in accordance with the applicable service arrangement.

Some updates may be included within the selected service or hosting arrangement. Other modifications may require an additional fee.

COMLUK may decline requested changes that are unlawful, misleading, infringing, unsafe, technically unsupported, or materially inconsistent with the intended purpose of the service.

Identity Verification and Authorized Management

Before a COMLUK Profile is created, published, or distributed for public use, COMLUK may require satisfactory written documentation reasonably sufficient to verify the identity of the individual, business, organization, or other party represented by the Profile.

Where a Profile will be established, funded, administered, maintained, or otherwise managed by someone other than the represented party, that arrangement must be disclosed to COMLUK in writing.

COMLUK may require a signed COMLUK Profile Identity & Management Authorization Form or other written authorization reasonably sufficient to confirm that the proposed manager is authorized to act for the represented party.

A change in the person or organization authorized to manage an existing Profile must be communicated to COMLUK and may require renewed identity or authorization checks before management access or control is changed.

COMLUK may delay or refuse:

  • Profile creation;
  • publication;
  • distribution;
  • management access;
  • transfer of control; or
  • continued operation

until required identity or authorization information has been received and reasonably verified.

COMLUK may display a verification or authentication status on a Profile.

A verification status indicates only that COMLUK has completed the applicable internal verification process. It does not constitute a professional licence, government certification, financial guarantee, guarantee of services, or universal endorsement of every statement or activity associated with the Client.

COMLUK may suspend, remove, or modify verification status where information cannot be confirmed, misleading information is discovered, impersonation is suspected, the account is not in good standing, or additional review is reasonably required.

External Links and Third-Party Services

A COMLUK Profile may connect visitors to third-party services, including:

  • websites;
  • social-media platforms;
  • messaging services;
  • payment providers;
  • booking platforms;
  • mapping services;
  • storefronts;
  • document hosts; and
  • other external systems.

COMLUK does not control these third-party services and is not responsible for their availability, policies, fees, data handling, security, transactions, errors, outages, or changes.

The Client is responsible for maintaining any required third-party accounts and for ensuring that links and information supplied to COMLUK remain current and accurate.

Companion and Physical Products

Where included in an applicable quotation or service arrangement, COMLUK may provide companion products or services such as:

  • metal business cards;
  • printed cards;
  • email signatures;
  • QR-code files;
  • branded materials;
  • packaging;
  • setup instructions; or
  • other related deliverables.

Physical production, quantity, materials, pricing, delivery, replacement arrangements, and other transaction-specific conditions are governed by the associated quotation or applicable written arrangement.

The provision of physical or companion products does not alter the hosted nature of the COMLUK Profile itself.

Fees, Billing and Non-Payment

The Client agrees to pay the fees stated in the applicable quotation, invoice, order confirmation, or other written arrangement.

Fees may include charges for:

  • Profile creation;
  • customization;
  • hosting;
  • QR setup;
  • optional features or add-ons;
  • Profile updates;
  • email-signature design;
  • physical products;
  • engraving;
  • packaging;
  • delivery; and
  • other agreed services.

COMLUK may require a deposit, full payment, or another agreed payment arrangement before work begins, production starts, publication occurs, or final delivery is made.

Where a specific written quotation or other agreed document establishes pricing, scope, billing, delivery, or special conditions, that document governs those specific matters.

Where an amount remains unpaid, COMLUK may, where appropriate:

  • delay work;
  • withhold final delivery;
  • pause updates;
  • suspend public Profile access;
  • decline additional services; or
  • terminate the service after reasonable notice.

Suspension does not erase amounts already owed.

Reactivation following a payment-related suspension may require payment of outstanding amounts and any applicable reactivation charge communicated by COMLUK.

Cancellation, Suspension and Termination

The Client may request cancellation of the Profile hosting service.

Cancellation does not create a right to receive COMLUK source files, HTML files, platform code, templates, administrative systems, internal tools, or other proprietary platform assets.

Unless otherwise agreed, a Profile may remain accessible until the end of an applicable paid hosting period.

Following cancellation, COMLUK may retain limited records where reasonably necessary for accounting, legal compliance, fraud prevention, dispute resolution, reactivation, security, or legitimate internal record-keeping.

COMLUK may suspend or terminate a Profile or related service where the Client:

  • fails to pay applicable fees;
  • uses the service unlawfully;
  • engages in fraud or impersonation;
  • supplies or publishes materially harmful or misleading content;
  • infringes third-party rights;
  • attempts to compromise or misuse the platform;
  • resells or redistributes protected COMLUK systems without authorization;
  • abuses, threatens, or exploits others through the service; or
  • materially breaches this Agreement.

Where appropriate, COMLUK may provide an opportunity for the Client to correct an issue before permanent termination.

Prohibited Use

The Client may not use COMLUK Profile to:

  • commit fraud;
  • impersonate another person, business, or organization;
  • distribute unlawful, harmful, or malicious content;
  • materially mislead visitors regarding identity, qualifications, authority, products, or services;
  • infringe copyright, trademark, privacy, or other legal rights;
  • distribute malware or facilitate unauthorized system access;
  • harass, threaten, exploit, or unlawfully target others;
  • create unauthorized copies of the COMLUK system;
  • reverse engineer or improperly extract the platform; or
  • use COMLUK source code, proprietary designs, protected assets, internal tools, or other protected COMLUK material to create or support an unauthorized competing product.

Intellectual Property and Branding

COMLUK retains ownership of its underlying intellectual property, including its:

  • source code;
  • templates;
  • design frameworks;
  • Profile architecture;
  • authentication systems;
  • verification systems;
  • add-on framework;
  • dynamic QR infrastructure;
  • software tools;
  • documentation structure;
  • platform branding; and
  • internal processes.

The Client retains ownership of original content supplied by the Client, subject to the limited permission necessary for COMLUK to provide the service.

Purchasing, subscribing to, or using a COMLUK Profile does not transfer ownership of the underlying COMLUK system to the Client.

COMLUK may display reasonable platform branding, verification marks, service identifiers, or similar platform information on hosted Profiles.

The Client may not remove, obscure, imitate, alter, or misrepresent COMLUK branding or verification indicators without authorization.

Client-specific branding may be incorporated according to the selected Profile template, package, quotation, or other agreed service arrangement.

Privacy and Personal Information

COMLUK may collect and process information reasonably necessary to:

  • create and host the Profile;
  • communicate with the Client;
  • administer the customer relationship;
  • administer a COMLUK Account ID or Profile Reference;
  • perform identity and management verification;
  • process applicable payments;
  • deliver products or services;
  • provide support;
  • maintain appropriate records; and
  • protect the Profile service and wider COMLUK platform.

Information handling is governed by the COMLUK Solutions Privacy Policy and the COMLUK Profile Privacy Policy.

Identity documents, verification records, signed management authorizations, and similar materials are private administrative information. They are not public Profile content.

Such records may be used for verification, fraud prevention, account administration, security, dispute handling, and related service purposes in accordance with the applicable COMLUK privacy policies.

The Client acknowledges the distinction between:

  • Public Profile Content — information intentionally selected for display to Profile visitors; and
  • Private Administrative Information — information collected for onboarding, verification, production, billing, support, security, or administration.

Private onboarding, verification, support, and administrative information is treated as non-public by default.

COMLUK will not intentionally publish such information unless the Client specifically approves it for public display, it is reasonably necessary for a public-facing feature requested by the Client, or disclosure is otherwise required or permitted by law.

COMLUK Profiles are public-facing by design. The Client should therefore not submit information for public display that the Client considers confidential, private, or sensitive.

Security, Backups and Data Retention

COMLUK will use reasonable measures to protect the Profile service and Client information within its control.

No internet-connected system can be guaranteed to be completely secure.

The Client is responsible for protecting any access credential, PIN, editing key, or other private access mechanism provided in connection with the service.

The Client should avoid sharing private credentials unnecessarily and should report suspected unauthorized access promptly.

COMLUK may reset, disable, or replace access credentials where misuse, compromise, or unauthorized access is reasonably suspected.

COMLUK may maintain operational backups or copies of Profile content to support service operation and recovery.

Such backups are not guaranteed to function as permanent archival storage for the Client.

The Client should retain original copies of photographs, logos, documents, written content, business information, and other important material supplied to COMLUK.

COMLUK may establish or apply retention periods for cancelled, suspended, or inactive Profile services in accordance with its applicable policies and legitimate administrative requirements.

Support

Support may include reasonable assistance relating to:

  • Profile access;
  • broken links;
  • display problems;
  • QR routing;
  • supported Profile updates; and
  • service-related technical issues.

Unless specifically included in the applicable service arrangement, support does not automatically include:

  • unlimited redesigns;
  • unrelated device support;
  • support for third-party platforms;
  • marketing services;
  • content creation;
  • custom software development; or
  • training outside the agreed scope.

Additional work or support may be quoted separately.

Platform Changes

COMLUK may update, improve, replace, restructure, or discontinue parts of the COMLUK Profile platform over time.

Changes may affect:

  • templates;
  • features;
  • add-ons;
  • editing tools;
  • hosting structures;
  • QR routing;
  • verification methods;
  • user interfaces; and
  • other technical components.

COMLUK will make reasonable efforts to preserve the essential purpose of active Profiles when implementing significant platform changes.

No particular feature, design element, technical method, interface, or system component is guaranteed to remain permanently unchanged unless expressly agreed in writing.

Responsibility, Limitations and Business Results

COMLUK is responsible for providing the agreed service with reasonable care and within the agreed scope.

COMLUK is not responsible for losses resulting from:

  • incorrect information supplied or approved by the Client;
  • third-party service failures;
  • internet or telecommunications failures;
  • unauthorized use resulting from compromised Client-controlled credentials;
  • decisions made by visitors based on Client-provided content;
  • unlawful or improper Client activity;
  • Client misuse of the service; or
  • circumstances outside COMLUK’s reasonable control.

Nothing in this Agreement is intended to exclude responsibility that cannot lawfully be excluded.

COMLUK Profile is a professional identity and access platform. COMLUK does not guarantee:

  • sales;
  • leads;
  • appointments;
  • employment;
  • customer engagement;
  • social-media growth;
  • search-engine placement;
  • financial results; or
  • business success.

The effectiveness of a Profile depends partly on how the Client presents, distributes, maintains, and uses it.

The Client remains responsible for claims or losses arising directly from unlawful Client-supplied content, infringement of third-party rights, fraudulent representations, or deliberate misuse of the Profile.

This does not apply where the relevant loss was caused by COMLUK’s own unlawful conduct or failure to exercise reasonable care.

Notices and Communication

COMLUK may communicate with the Client using contact information supplied during onboarding, ordering, billing, service administration, or subsequent communication.

Communication may occur through:

  • email;
  • messaging platforms;
  • telephone;
  • account or service notices;
  • written correspondence; or
  • another agreed communication method.

The Client is responsible for keeping relevant contact information reasonably current.

Changes to This Agreement and Specific Service Terms

COMLUK may revise this baseline Agreement as the COMLUK Profile service develops.

Where a material change affects an existing Client’s active service, COMLUK should communicate that change within a reasonable period.

Package-specific arrangements, promotions, special conditions, and Client-specific terms may be documented through quotations, addenda, order confirmations, written amendments, service notices, or other applicable companion documents.

Where a specific quotation, addendum, order confirmation, or other agreed written term conflicts with this baseline Agreement, the more specific agreed term applies to the matter it specifically addresses.

The COMLUK Solutions Terms of Service remains the company-wide foundation except where this product-specific Agreement establishes a valid and more specific rule governing COMLUK Profile.

Agreement Structure and Companion Documents

This Agreement should be read together with the documents applicable to the Client’s COMLUK Profile service, which may include:

  • COMLUK Solutions Terms of Service;
  • COMLUK Solutions Privacy Policy;
  • COMLUK Profile Privacy Policy;
  • COMLUK Profile Individual Professional Identity Service Overview;
  • applicable quotation, invoice, or order confirmation;
  • onboarding or verification records;
  • COMLUK Profile Identity & Management Authorization Form, where required;
  • applicable update or maintenance terms;
  • applicable payment, physical-product, or delivery terms; and
  • any agreed service addendum or other written companion document.

Together, the applicable documents form the terms governing the Client’s COMLUK Profile relationship.

This Agreement replaces earlier discussions or documents concerning the same individual Profile where those earlier terms are inconsistent with the current hosted-service arrangement, except where a later or more specific written term has been expressly agreed for the relevant matter.

Severability and Waiver

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by COMLUK to enforce a provision immediately does not mean that COMLUK permanently waives the right to enforce that provision later.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of Jamaica.

Where a dispute arises in connection with the COMLUK Profile service, COMLUK and the Client will first attempt to resolve the matter through good-faith discussion before pursuing any formal legal remedy available under Jamaican law.

Agreement and Acceptance

By proceeding with the COMLUK Profile service after being provided with, directed to, or given reasonable access to this Agreement, the Client confirms that they:

  • have had an opportunity to review the Agreement;
  • understand that COMLUK Profile is a hosted service;
  • understand that the underlying COMLUK source files, platform code, templates, and administrative systems are not transferred to the Client;
  • accept responsibility for content supplied or approved by the Client;
  • agree to applicable hosting and payment arrangements;
  • agree to comply with the verification and authorized-management requirements applying to the service; and
  • agree to use the COMLUK Profile service lawfully and in accordance with the applicable COMLUK service documents.

Client-specific information, service selections, pricing, Profile references, approvals, and other transaction records are maintained through the associated quotation, invoice, onboarding process, order confirmation, service record, or other applicable written communication rather than through blank fields within this Agreement.

Return to COMLUK Profile

COMLUK Profile is provided as a hosted service relationship. Customer-specific commercial and administrative details are recorded through the relevant service documents, while this Agreement remains the common read-only statement of rights, responsibilities and operating terms.
